Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Atay Games and its affiliates ("Atay Games," "we," "us," or "our"). By creating an account, downloading our apps, entering a match, or otherwise using our websites, mobile applications, tournaments, games, or services (collectively, the "Services"), you agree to these Terms and our Privacy Policy.

If you do not agree, you may not access or use the Services. If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

To use the Services you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is older — at least 19 in Alabama and Nebraska, and at least 21 in Mississippi);
• Be a natural person, not a corporation or other legal entity;
• Not be barred from receiving the Services under the laws of the United States or other applicable jurisdictions;
• Reside in a jurisdiction where skill-based cash gaming is permitted; and
• Provide accurate, current, and complete information when registering.

Cash play is automatically restricted in jurisdictions where it is not permitted by law. Free-mode play remains available wherever local laws allow. You are solely responsible for determining whether your participation is lawful in your location.

3. Your Account

You may only hold one (1) account. You must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Notify us immediately at support@ataygames.com if you suspect unauthorized access. We are not liable for losses caused by stolen credentials or third-party access where you failed to protect your account. Accounts are personal — you may not transfer, sell, lend, or share your account with anyone else.

Inactive accounts

An account that has been dormant for 12 consecutive months may be marked inactive. Before closing an inactive account, we will attempt to contact you and pay out any remaining balance to a payment method on file, subject to applicable law.

4. License to Use the Services

Subject to your compliance with these Terms, Atay Games grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use our apps and to access our Services for your personal, non-commercial use.

You may not:

• Copy, modify, distribute, sell, lease, or sublicense the Services;
• Reverse engineer, decompile, disassemble, or attempt to derive source code, except as expressly permitted by law;
• Remove proprietary notices or labels;
• Use the Services to build a competing product or service;
• Use any automated means (bots, scrapers, crawlers) to access or interact with the Services;
• Interfere with or disrupt the Services, servers, or networks;
• Use the Services for any unlawful, fraudulent, or harmful purpose.

5. Cash Play, Deposits & Withdrawals

Wallet

Your in-app wallet may hold a Deposit Balance (funds you have added) and a Winnings Balance (funds you have won). Both can be used to enter cash matches. Only the Winnings Balance can be withdrawn directly; Deposit Balance amounts may be subject to play-through requirements where required by law.

Deposits

Deposits are processed via supported payment methods (e.g., Apple Pay, Google Pay, debit cards, PayPal). You authorize us and our payment processors to charge your selected method. Minimum and maximum deposit limits, as well as any applicable fees, are displayed at the point of transaction. Player funds are held in segregated accounts separate from operating capital.

Withdrawals

You may request a withdrawal of your Winnings Balance to a verified payment method, subject to a minimum withdrawal of $5. Withdrawals are typically processed within minutes; bank transfers may take 1–3 business days. We do not charge withdrawal fees, but your bank or payment provider may. Withdrawals over certain thresholds may require additional identity verification.

Taxes

You are solely responsible for any taxes owed on winnings. Where required by law (for example, when U.S. winnings exceed applicable IRS thresholds), we will issue tax forms (such as Form 1099-MISC) and may withhold required amounts.

6. Tournaments & Prizes

Each tournament or head-to-head match has its own entry fee, prize pool, format, time limit, and rules ("Match Rules"). Match Rules are presented before you enter and form part of these Terms by reference.

• Identical conditions. Both players in a head-to-head match receive the same board, the same letters, the same blocks, and the same clock. Tournament participants face seeded boards designed to be fair across all entrants.
• Prize pools are funded by entry fees, less a posted platform fee. We do not take a percentage of your winnings.
• Match results are final once posted, except in cases of demonstrable error, fraud, or technical failure, in which case we may, in our sole discretion, void the match, reseed the board, or issue refunds.
• Disconnections. If a player loses connection mid-match, we will attempt to reconnect. Where reconnection is not possible, the match may resume from your last known state, be voided with refunded entry, or be decided per Match Rules.

7. Fair Play & Prohibited Conduct

Fair play is the foundation of the Services. You agree not to:

• Use bots, scripts, macros, automated input, modified clients, or any tool that gives an unfair advantage;
• Collude with other players, share boards, or otherwise coordinate to manipulate match outcomes;
• Operate or participate in multiple accounts ("multi-accounting");
• Exploit bugs, glitches, or unintended game behavior;
• Engage in payment fraud, chargeback abuse, money laundering, or use stolen payment methods;
• Harass, threaten, or impersonate other players or our staff;
• Attempt to access another user's account or our systems without authorization.

We employ automated and manual anti-cheat detection. Suspected violations may result in match voiding, balance freezes, forfeiture of winnings, account suspension or termination, and reporting to law enforcement.

8. Identity Verification (KYC)

To comply with applicable anti-money-laundering, anti-fraud, and skill-gaming laws, we may require you to verify your identity before depositing, withdrawing, or continuing to play. You agree to provide accurate identification documents (such as government-issued ID, proof of address, and a selfie) when requested. We may share this information with verification partners as described in our Privacy Policy.

If we cannot verify your identity, we may restrict, suspend, or terminate your account and return any verifiable funds (less applicable fees and chargebacks) to the original payment method.

9. Refunds & Chargebacks

All deposits and entry fees are final and non-refundable except (a) where required by law, (b) where a match was voided due to a technical failure on our end, or (c) at our sole discretion. Match-entry fees consumed by participating in a match are not refundable.

If you initiate a chargeback for a deposit you in fact authorized, we may suspend your account, recover the disputed amount from your balance, and pursue collection. Repeated chargebacks may result in permanent termination.

10. Suspension & Termination

We may suspend or terminate your account, refuse service, or void specific matches at any time and without prior notice if we believe you have violated these Terms, applicable law, or the spirit of fair play, or if required to do so by a regulator, court, or payment partner.

You may close your account at any time via in-app Settings → Account → Close Account or by contacting support@ataygames.com. Verified balances will be paid out before closure, subject to KYC and applicable holdback periods.

11. Intellectual Property

The Services, including all software, game mechanics, artwork, audio, text, trademarks, logos, and the "look and feel" of our games, are owned by Atay Games or our licensors and are protected by U.S. and international copyright, trademark, and other intellectual-property laws. Except for the limited license in Section 4, no rights are granted to you.

User content

If you submit content to the Services (e.g., support messages, profile content, reviews, suggestions), you grant Atay Games a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and display that content in connection with operating and improving the Services. You represent that you have all rights necessary to grant this license.

Feedback

If you send us feedback or suggestions, we may use them without restriction or compensation.

12. Third-Party Services

The Services may interact with third-party platforms (such as Apple, Google, Facebook, payment processors, and identity-verification providers). Those services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third party.

13. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Atay Games disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that defects will be corrected. We do not warrant any specific outcome from your participation in any match or tournament.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Atay Games, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (i) one hundred U.S. dollars ($100) and (ii) the amounts you paid to Atay Games in the six (6) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages — in those jurisdictions, the limitations above apply only to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Atay Games and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party right, including intellectual property or privacy rights, or (d) any content you submit.

16. Arbitration & Class-Action Waiver

Informal resolution first

Before filing any claim, you and Atay Games agree to attempt to resolve the dispute informally for at least 60 days by sending written notice to legal@ataygames.com with a description of the claim and the relief sought.

Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in the U.S. county where you reside, or by phone or video where available. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver

You and Atay Games agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions

Nothing in this section prevents either party from (i) bringing a claim in small-claims court for matters within its jurisdiction, or (ii) seeking equitable relief in court for infringement of intellectual property rights.

Opt-out

You may opt out of this arbitration agreement by sending written notice to legal@ataygames.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out.

17. Governing Law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Where arbitration does not apply, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email, in-app notice, or by updating the "Last updated" date above. Changes take effect when posted unless a later date is specified. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

19. Miscellaneous

• Entire agreement. These Terms, together with our Privacy Policy and any Match Rules, constitute the entire agreement between you and Atay Games regarding the Services.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them freely.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may give notice through in-app messages, email, or by posting on our website.
• Headings are for convenience only and have no legal effect.
